摘 要

随着中国改革开放的推进，自加入世贸组织后，中国与世界多国的商务交流日益紧密。商务合同的翻译，在商务交流中起到关键作用。翻译的好坏直接关系到双方合作的成功。
本文首先从读者反应的角度阐释了奈达的功能对等，进而分析了奈达对其理论的详细补充和说明。为了更好的研究商务合同中长句的翻译，本文还对商务合同的语言特点进行了详细的探究，主要从词语和句子的角度分析了商务合同语言正式、精确、有效等特点。商务合同不同于日常用语的正规词语和句式都有其在商务交流中特殊的功能和目的，为了使合同长句的译文更好的为译入语读者所理解，合同双方的权利和义务规定明确，充分发挥商务英语的功能，促进中英商务交流，奈达的功能对等理论对于长句的翻译是不可缺少的。有了功能对等理论的指导，结合商务英语长句的特点和所要发挥的功能，本文还在最后给出了翻译合同长句的一般原则和针对各个特点的具体翻译方法。

Abstract

After china’s reform and opening up especially after china’s entry into WTO, China has a closer connection in economy with the world. The translation of contract plays a dramatic role in business connection. So the quality of translation is important to the success of cooperation.
This paper starts with Eugene A. Nida’s functional equivalence on the basis of the reader’s response. Afterwards, it also analyses many details of the theory. In order to deepen the research of long sentence translation in business contract, the language features are presented in the thesis from two perspectives. The first is words, and the other is syntax. The words and sentences used in business contracts are quite different from daily English. And these unusual features have their own functions. Nida’s functional equivalence is necessary in the long sentence translation for it not only makes the translation easy for reader’s understanding but also states clearly the rights and obligations of both parties, which makes business cooperation successful. Based on the functional equivalence and language features, the translation principles and techniques are given at last.

Chapter 1 Introduction
The functional equivalence theory of professor Nida has been highly praised and has influenced many translators in China. The purpose of this paper is to explore translation principles and specific techniques in terms of the translation of long sentences in English business contracts. The objectives of this paper are to explain the translating of long sentences in Business Contracts with Nida’s equivalence theory. The distinctness of Nida’s equivalence is that translation should focus on reader’s response.
Because of the globalization in economy, international business becomes common and business English translation is more and more important especially the business English contract translation. A grand feature of contract English is its complexity in language words and structure. And these words and sentences constitute the whole content of a contract. So how to translate them is an issue of great significance.
